The federal Canada Business Corporations Act, RSC 1985, c C-44 was established to govern corporations which choose to be regulated and registered federally. The CBCA provides a very basic structure and standards that must be met by federally incorporated businesses. Further, the rules establish the relative rights of important corporate stakeholders, including directors, officers, management, and shareholders.
